We are a business oriented law firm dedicated to providing legal services in nearly every circumstance in which you find your company during its corporate existence. We have considerable experience representing both small business owners and large corporations.
We offer a wide variety of preventative legal counsel concerning business law because, in our experience, we have seen that a large number of business disputes could have been avoided if legal counsel was in place.
Business law also involves finding practical, timely solutions to problems arising during the natural course of business. We are experienced in a wide variety of matters regarding business law, including, but not limited to, business formation, transaction issues, contracts, sales, employment, and board counsel.
Business Formation
Limited Liability Company (LLC)
A Limited Liability Company (LLC) combines aspects of a corporation and a partnership into one entity. An LLC is generally treated as a partnership entity by the IRS, but still provides its owners with protection against any debts or obligations accrued by the company.
Limited Liability Partnership (LLP)
A Limited Liability Partnership (LLP) is an entity in which the individual partners have limited liability for any partnership debts or obligations.
Non-Profit Corporation
Often created with charitable or educational intentions, a Non-Profit Corporation does not operate with the purpose of turning a profit for the shareholders. A Non-Profit Corporation is often entitled to various tax exemptions.
Corporation
A Corporation acts as a completely separate legal entity from its shareholders and generally offers liability protections. As a formal business association, a Corporation has rights and responsibilities apart from its shareholders.
Joint Venture
A Joint Venture refers to the purpose of the partnership, not the type of partnership. In a Joint Venture, two parties agree to combine assets to accomplish a single business goal or project. A Joint Venture is not necessarily a long-term business relationship and can be dissolved when a certain amount of time has lapsed.
Sole Proprietorship
An individual forming a Sole Proprietorship assumes all liability for any debt and obligations accrued by the business and receives all profits. Legally there is no distinction between the individual and the entity.
General Partnership
A General Partnership involves an unincorporated association of members who, by written agreement and proof of existence, assume all liability for all debts or obligations.
Transaction Issues
In order to protect your business from a variety of legal issues, it is important to have well-written and legally sound business forms, contracts, and other documents. At Watson Legal Group, we assist with the development of such business documents.
Contracts
A contract is a legally binding understanding between two or more persons or entities with mutual obligations.
Sales
We assist with the legal side of business sales for both the purchaser and the seller.
Employment
Many issues arise throughout the natural course of a business’ employment process. The lawyers at Watson Legal Group will provide critical legal advice throughout many employment situations.
